If you do not agree to these Terms, please do not use our Services. These Terms constitute a legally binding agreement between you and WagPost Inc. ("WagPost," "we," "us," or "our").

2. Description of Services

WagPost provides a platform that enables veterinary clinics, animal hospitals, and pet care professionals ("Clinic Users") to create, customize, and send physical greeting cards to their clients ("Pet Owners"). Our Services include:

• Card design and customization tools
• Client contact management systems
• Automated mailing and delivery services
• Subscription-based pricing plans
• Analytics and reporting features

3. Account Registration

To access certain features of our Services, you must create an account. When registering, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access or security breaches

You must be at least 18 years old and have the legal authority to enter into this agreement on behalf of yourself or your organization.

4. Payment Terms

WagPost offers subscription-based pricing plans. By subscribing to our Services, you agree to:

• Pay all applicable fees as described at the time of purchase
• Provide valid payment information through our secure payment processor (Stripe)
• Authorize recurring charges for subscription renewals
• Additional card printing and postage fees may apply based on usage

Refund Policy: Subscription fees are non-refundable except where required by law. Unused card credits may be refunded within 30 days of purchase at our discretion.

5. Acceptable Use Policy

You agree to use our Services only for lawful purposes. The following activities are strictly prohibited:

• Sending cards containing offensive, defamatory, or inappropriate content
• Using the Services for spam, harassment, or unsolicited communications
• Uploading content that infringes on intellectual property rights
• Attempting to access other users' accounts without authorization
• Interfering with or disrupting our Services or servers
• Using automated systems to access the Services without permission

6. Intellectual Property

All content, designs, logos, and materials provided by WagPost remain our exclusive property or the property of our licensors. You are granted a limited, non-exclusive, non-transferable license to use our card templates and designs solely for sending cards through our platform.

You retain ownership of any custom content, logos, or images you upload to our platform. By uploading content, you grant WagPost a license to use such content solely for the purpose of providing our Services.

7. Privacy and Data Protection

Your use of our Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. You are responsible for ensuring that you have obtained appropriate consent from pet owners before sharing their personal information with WagPost for card delivery purposes.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WAGPOST SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OUR SERVICES.

Our total liability for any claims arising from these Terms or your use of the Services shall not exceed the amount you paid to WagPost in the twelve (12) months preceding the claim.

9. Termination

Either party may terminate this agreement at any time. You may cancel your subscription through your account settings. We reserve the right to suspend or terminate your account if you violate these Terms or engage in fraudulent or harmful activities.

Upon termination, your right to use the Services will immediately cease. We may retain your data as required by law or for legitimate business purposes.

10. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after such changes constitutes acceptance of the new Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Delaware.
